These Terms of Service and End User License Agreement ("Agreement") govern access to and use of the AERONEXUM software platform ("Platform") provided by AERONEXUM ("Company," "we," "us," or "our").
By accessing or using the Platform, you agree to be bound by this Agreement.
1. License Grant
Subject to compliance with this Agreement, AERONEXUM grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for legitimate business purposes.
No ownership rights are transferred to you.
2. Ownership
The Platform, including all software, source code, databases, user interfaces, workflows, designs, documentation, trademarks, logos, and intellectual property rights, remains the exclusive property of AERONEXUM.
Customer data remains the property of the customer.
3. Customer Data
You retain ownership of all information, records, documents, images, certifications, inventory records, repair records, and other content uploaded to the Platform.
You grant AERONEXUM a limited license to store, process, transmit, back up, and display such data solely for providing the Platform.
4. User Responsibilities
You are responsible for:
- Maintaining account security
- Ensuring uploaded information is accurate
- Ensuring you possess all rights necessary to upload content
- Complying with all applicable laws and regulations
- Maintaining appropriate records outside the Platform when required by law
5. Aviation and Regulatory Disclaimer
AERONEXUM is an operational management platform.
AERONEXUM does not:
- Determine airworthiness
- Certify parts
- Approve repairs
- Replace FAA requirements
- Replace repair station manuals
- Replace quality systems
- Guarantee regulatory compliance
Customers remain solely responsible for compliance with FAA, EASA, CAA, ITAR, EAR, customs regulations, export controls, and all other applicable laws.
6. Acceptable Use
Users may not:
- Violate applicable laws
- Upload malicious software
- Attempt unauthorized access
- Interfere with platform operations
- Reverse engineer the Platform
- Use the Platform for unlawful activities
7. Service Availability
The Platform is provided on an "AS IS" and "AS AVAILABLE" basis.
AERONEXUM does not guarantee uninterrupted service or error-free operation.
Maintenance, outages, upgrades, and unforeseen events may affect availability.
8. Backups
AERONEXUM performs reasonable backup procedures.
However, customers remain responsible for maintaining any records required by law or business necessity.
AERONEXUM does not guarantee protection from all forms of data loss.
9. Suspension and Termination
AERONEXUM may suspend or terminate access for:
- Violation of this Agreement
- Security concerns
- Non-payment
- Fraudulent or unlawful activity
10. Limitation of Liability
To the maximum extent permitted by law, AERONEXUM shall not be liable for:
- Lost profits
- Lost revenue
- Loss of business opportunity
- Regulatory penalties
- Aircraft downtime
- Consequential damages
- Indirect damages
- Special damages
Total liability shall not exceed the fees paid by the customer during the twelve months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless AERONEXUM from claims arising from:
- Customer data
- Uploaded content
- Regulatory violations
- Misuse of the Platform
- Violations of applicable laws
12. Modifications
AERONEXUM may update these Terms from time to time. Continued use constitutes acceptance of updated Terms.
13. Governing Law
This Agreement shall be governed by the laws of the State of Texas.
Any dispute shall be resolved exclusively in the state or federal courts located in Texas.
